Track Record

FOR FIDELITY EQUITY FUND 1 LIMITED in respect of various

Shareholders Agreements, Convertible Loan Agreements and Share Put and Call Options Agreements for various companies where the Fund has made equity and loan investments. 

We have provided legal advisory services to several foreign clients including Sandia National Laboratories, a United States Government Owned Contractor Operated Facility for the United States Department of Energy’s National Nuclear Security Administration on pertinent legal issues in Ghana, Phillip Morris International.

We have also over the years provided services by way of incorporating foreign owned companies in Ghana and procuring all permits and licences required by these endless list of business establishments such as COR International Limited, Sithe Global, Accion International, and Earthwater Global, Inc.

 

Furthermore, we have over the years conducted several due diligence exercises and researches for several foreign institutions such as Research in Motion (RIM), Clyde & Co LLP, Trinity International LLP, Red Bull, GMBH, and Rabo Financial Institutions Development BV in the Netherlands.

It is worthy of note that we have been acknowledged as the leading Law Firm in Ghana for Corporate Immigration and Relocation Services.  It is in recognition of this the Firm has been retained as Local Counsel by Fragomen, LLP, Berry Appleman, & Leiden LLP and GMAC Global Services arguably three (3) of the world’s largest Corporate Immigration and Relocation Firms.  We have assisted and still continue to assist these Firms as local Counsel to handle in-country Immigration matters for their high profile clients including Vodafone Plc, British Telecommunications, Cummins Business Services and Major Oil Companies operating and intending to operate in Ghana.

We have been selected as Law Firm of choice by Global Recovery, LLC a Delaware, United States of America based corporation which was established to be the debt recovery contractor for the Export-Import Bank of the United States of America to handle recovery claims in Ghana for the Export-Import Bank of the United States of America.  We are also the Law Firm of choice of ABC Amega; the New York based global debt collection experts. As part of the rules of our engagement, we have become more familiar with requirements and ethics for handling claims for a United States Government agency like the Export-Import Bank.  We also have become very familiar with the Anti-Bribery and Books & Records Provisions of the Foreign Corrupt Practices Act (United States Code:  Title 15 on Commence and Trade and Chapter 2B on Securities Exchange), an Act which all United States Corporate entities expect outside legal counsel advising them to be familiar with.  It must be noted that not every Law Firm or lawyer practicing outside the United States of America is familiar with this important legislation.  Our knowledge of the Foreign Corrupt Practices Act has enhanced our appreciation of the obligation on United States of America corporate entities or their subsidiaries and affiliates to conduct their business in foreign jurisdictions in accordance with high ethical standards and good corporate governance.

The nature and scope of our representation for foreign clients who intend  doing business or conducting due diligence in Ghana has afforded us the opportunity to have very good working relationship with key Government Agencies which deal with foreign investors like the Company Registry, Ghana National Petroleum Corporation, Ghana Investment Promotion Centre, Bank of Ghana, National Communications Authority, Minerals Commission, Lands Commission, the Ghana Immigration Service, the Energy Commission, the Public Utilities Regulatory Commission, Volta River Authority, the Ghana Revenue Authority, the Ghana Standards Authority, the Ghana Health Service, VAT Service and other Government agencies with oversight responsibilities for investment and business in Ghana.
